1. Agreement to Terms

These Terms of Use ("Terms") govern access to and use of the FINTRX private wealth intelligence platform, including our web application, data products, APIs, and integrations, and Fin, our AI-powered analyst available within the platform and through Microsoft Teams, Microsoft Copilot, and other Microsoft AppSource integrations (collectively, the "Service"), operated by FINTRX ("FINTRX," "we," "us," or "our"). By accessing or using the Service, you ("you," "User," or "Customer") agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

FINTRX is a private wealth intelligence platform providing firm-level and contact-level data, analytics, and research tools covering registered investment advisors, broker-dealers, family offices, private wealth teams, and endowments and foundations. The Service supports use cases including asset raising, distribution, and business development across the private wealth channel.

Fin is an agentic AI analyst within the Service that provides natural-language access to FINTRX data, allowing Users to query, analyze, and retrieve firm and contact records through conversational and integrated interfaces, including within Microsoft 365 and Microsoft Copilot environments where offered.

The Service, including Fin, is a business intelligence and research tool. It does not provide legal, tax, investment, or financial advice, and outputs should not be relied upon as such. See Section 8 (Disclaimers).

3. Eligibility and Account Access

The Service is intended for use by business and institutional customers, not individual consumers. Access requires a valid FINTRX subscription or authorized license, either directly or, for Fin, through your organization's Microsoft 365 tenant. You are responsible for maintaining the confidentiality of any credentials used to access the Service and for all activity occurring under your account.

4. Acceptable Use

You agree not to:

• Attempt to reverse engineer, decompile, scrape, or extract the underlying models, algorithms, or datasets powering the Service, including Fin.
• Use the Service to build a competing product or dataset.
• Redistribute, resell, or sublicense data or outputs from the Service outside the scope of your license agreement with FINTRX.
• Use automated means to query the Service at a volume or frequency that could degrade performance for other users, except as expressly permitted through supported API or MCP integrations.
• Misrepresent the source of data or outputs obtained through the Service.
• Upload or input any content to the Service, including to Fin, that is unlawful, infringing, or that you do not have the right to share.

FINTRX reserves the right to suspend or terminate access for any User who violates these Terms.

5. Data and Privacy

Use of the Service is also governed by the FINTRX Privacy Policy, which describes how we collect, use, and protect personal data, including data processed through Fin and Microsoft integrations.

The Service, including Fin, may process inputs (such as queries and uploaded content) to generate outputs and, where applicable, to improve the Service. FINTRX does not sell User query data to third parties. Any data made available through the Service regarding third-party individuals (such as financial advisors or firm contacts) is sourced and maintained in accordance with FINTRX's data collection practices, described in the FINTRX Privacy Policy.

6. Intellectual Property

FINTRX retains all right, title, and interest in and to the Service, including Fin and its underlying technology, models, interfaces, and the FINTRX dataset, except for data licensed from third parties. Subject to your compliance with these Terms and your applicable subscription agreement, FINTRX grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during your subscription term.

Nothing in these Terms transfers ownership of any FINTRX data, models, or technology to you.

7. AI-Generated Output

Fin, and other AI-assisted features within the Service, use artificial intelligence, including large language models, to generate responses, summaries, and analysis. AI-generated output may contain errors, omissions, or inaccuracies, and may not reflect the most current data available. You are responsible for independently verifying any output before relying on it for business, investment, or compliance decisions.

8. Disclaimers

THE SERVICE, INCLUDING FIN, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FINTRX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA OR OUTPUTS WILL BE ACCURATE OR COMPLETE.

The Service does not provide investment, legal, tax, or financial advice. Nothing generated by the Service, including Fin, constitutes a recommendation or solicitation to buy or sell any security or to engage any advisor, firm, or service provider.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINTRX AND ITS OFFICERS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FINTRX'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO FINTRX FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Microsoft AppSource and Third-Party Platforms

Where the Service, including Fin, is accessed through Microsoft Teams, Microsoft Copilot, or listed on Microsoft AppSource, your use of those integrations is also subject to the applicable Microsoft terms, including the Microsoft Product Terms and any Microsoft 365 or Copilot platform agreements governing your tenant. FINTRX is not responsible for the availability, performance, or terms of the underlying Microsoft platform.

11. Term, Suspension, and Termination

These Terms remain in effect for as long as you use the Service. FINTRX may suspend or terminate your access to the Service, or any part of it, at any time if you violate these Terms, your subscription agreement, or applicable law, or if required to do so by a third-party platform provider such as Microsoft. You may stop using the Service at any time; termination of your underlying FINTRX subscription will also terminate your access to all Service features, including Fin.

12. Changes to These Terms

FINTRX may update these Terms from time to time. Material changes will be reflected by an updated "Last Updated" date above. Continued use of Fin after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Massachusetts, without regard to its conflict of laws principles, unless otherwise specified in a separate written agreement between you and FINTRX.
